Article I Purposes: The Purposes of the National Transregional Accreditating Association Counci; (NTAAC) are to support better Alternatives for Education for the Students of this Nation through functioning as an Independent National Accreditation Association and Certifier of Private School Teachers & Administrators to stimulate the Independent Private Non-Public Schools to achieve and maintain a high level of professional integrity and competence and to encourage the Independent Private Non-Public Private Schools to achieve Professional Accreditation, Teacher Certification and Professional Administrator Status, through a voluntary submission, to the processes. In the United States Accreditation is not a legal designation, rather a voluntary process. Those who have come to rely on Accreditation as a measure of a Schools competency and professional dedication include. Parents, Students, Transfer Institutions, Curriculum Publishers, Grantors, Standardized Testing Resource Centers, the U.S. Military, Colleges & Universities, etc. Many Private Schools seek recognition and the acceptance that may come through Accreditation and the ability to display Accreditation documents, Validate their Transcripts with an Accreditation Seal, the pride that comes from Publicly Promoting the Schools Accredited Status and have that Status verified by an independent third party with National renowned. The State is generally prohibited from interfering with the operation of a Private School and does not necessarily imply approval, acceptance, acknowledgment, listing or accredit the individual Private School or the individual Accrediting Organization.
There are several organizations, with widely variant quality standards and program requirements, that Accredit Private Schools. Consequently, the acceptance of Diplomas, Transcripts Student Placement and Transfer Credits for Private Schools is according to the requirements of the admitting or receiving institution. Requests for information about the current Accreditation Status of a specific Private School or its Accrediting Organization should be directed to the School Staff or its designated Accrediting Agency. Requests for information about the acceptance of the Accredited Status for any given purpose should be directed to the entity that seeks to rely upon that Accredited Status for its stated purpose. The Accrediting Agency operates under the same freedoms of the United States Constitution as does the Private School Industry. For Example: Information concerning the transfer of credits or Student Placement should be directed to the receiving school’s Admissions officer, well prior, to expected transfer. Information concerning a Private Schools participation in any given specific State Program as an Accredited School should be addressed to the specific programs director, in that particular State, well prior to expected participation. The National Transregional Accrediting Association Council (NTAAC) expressly makes no claims to the contrary declaring its acceptance, by any specific State for any of its various purposes and programs. No State, Government Agency, Community College, Private or Public Transfer institution, Parent, Etc. is legally obligated to accept at face value any Accredited Status issued by any Accrediting organization. In other words the Accredited Status does not guarantee you Acceptance, in every instance, it does demonstrate your voluntary commitment to the Educational Mission and is generally considered to be an enhancement to your program, but not guaranteed.
Accreditation by the National Transregional Accrediting Association Council (NTAAC) is legally on a par with any other National or Regional Accrediting body for Private Schools. It is the express policy of NTAAC to recognize, promote and foster a positive relationship with any and all entities, private or public, that are involved in or utilize the services and processes of Accreditation. The National Transregional Accrediting Association Council (NTAAC) and Private School Teacher Certification Program shall have such powers as are now granted to Corporate entities under the laws of the United States. The National Transregional Accrediting Association Council (NTAAC) functions as a public service to educate the general public concerning alternative educational facilities and related services available for parents of Students and Students, pre-school age, school age, as well as, mature students. The National Transregional Accrediting Association Council (NTAAC) engages in activities for the purpose of promoting quality education in both the community and the institutional environment in which our students and children live, learn and play. The National Transregional Accrediting Association Council (NTAAC) shall utilize the public involvement vehicles of Resource and Referral, Training & Conferencing, Newsletter style publications, Direct mail, Personal consultation, Telemarketing, Facsimile and other generally accepted methods of public exposure. Also authorized but not limited to, are the multimedia of television, radio, billboard or print media, to accomplish this purpose, from time to time.
Article II Name, Seal and Offices: Section - Name The name shall be: “National Transregional Accrediting Association Council (NTAAC).” Section - Seal The seal of the Organization shall be circular in form and shall bear on the outer circle the words “National Transregional Accrediting Association Council (NTAAC).” The inner circle shall contain the word.
Article IV Membership: Section - Active Membership for Private Schools Active Membership shall be open to qualifying Private non-public Preschools, Kindergartens, Elementary, Junior high, Middle, Senior High Schools and Educational Academies. Also, Schools for Students with special needs, Trade & Technical Schools, Learning Centers, Tutorial and Schools oriented to Religious Teachings, Independent Study Schools, Distance Learning Schools, Post Secondary Programs, Home schools, Alternative Private Schools, colleges, seminaries, and universities. Private School Owners, Operators, Management, Parents, Students, Teachers and Staff of Active Members shall be considered to have Membership in the Organization for the purposes of receiving the benefits available from the Organization and may serve on Committees created by the Chairman or Board. Section - Associate Membership for Individuals, Businesses, Public Colleges or Universities Open to Corporations, Service Professionals, Individuals and Public Colleges or Universities who, by the nature of their products or professional services or because of offering opportunities in higher or continuing education to graduates of Active Members, would benefit either Active Private School Facilities, their Owners, Operators, Management, Students, Parents, Teachers, Staff and other Members belonging to the National Transregional Accrediting Association Council (NTAAC).
Article V The Board of Directors: Section - The Board of Directors The Board of Directors of the National Transregional Accrediting Association Council (NTAAC) shall be composed of both educators and related professionals as previously defined and shall be a minimum of six in number and a maximum of eight in number, to include two alternates.
Article VI Officers and Committees: The permanent Officers of the Board shall be Chairman, President and Chief Executive Officer, Executive Director, Secretary and Treasure. The Board of Directors shall elect these Officers at the end of the year meeting, each calendar year. The Board may appoint other Officers at its pleasure. Section - Compensation The members of the Board of Directors while functioning as Board Members shall serve without compensation. They shall be reimbursed for expenses for attendance at meetings authorized by the Board of Directors. However, the President and the Chief Executive Officer as well as the Executive Director shall be employed by the National Transregional Accrediting Association Council (NTAAC) through a contractual arrangement and be compensated through a negotiated employment and compensation agreement and that agreement shall be set biannually. Section - Committees A Nominating Committee to consist of at least two and not more than eight members shall be appointed by the Chairman of the Board at its end of year meeting. The Committee shall present, for approval, at the Spring meeting, a slate of nominations - for officers of the Board and for all vacancies on the board. An audit Committee to consist of at least two members shall be appointed by the Chairman to audit the financial records and to report its findings to the Board at its end of year meeting. Other Committees may be appointed with authority to transact appropriate business as the Chairman and/or Board may direct. Section - Duties of Officers The Chairman shall preside at the meetings of the Board of Directors. In his/her absence the Executive Director shall preside. Proper Rules of Order shall be employed to insure deliberative assembly. The President and Chief Executive Officer shall perform the duties usually devolving upon such officers including the right to obligate, contract on behalf of the Organization, act as Treasurer, thereby raise, deposit, transfer and withdraw funds and establish banking and other financial relationships for lawful purpose. He/she shall execute and implement any and all policies and procedures for the benefit of the Organization. The Executive Director shall receive and deal with the correspondence, application and fees. He/she shall coordinate the work of the Organization, be custodian of all of the Organizations records including minutes and function as Secretary. The Executive Director shall be a notary public and be bonded at the expense of the Organization.
Article VII Meetings of the Board of Directors: The Board of Directors shall hold four meeting annually, one in the Spring, one in the Summer, one in the fall and one before the end of the year. A meeting of the Board of Directors may be called by the Chairman or a majority of the Board of Directors at other times. All meetings shall be held at the principal office of the Organization, or at such other places as the Board shall designate in the notice of such meetings. Notices of meetings shall be by first class mail or personal service not less than ten or more than sixty days before the meeting.
Article VIII Sale or transfer of any Stock, Bond, Security or other Property: Any Sale or Transfer of Stock, Bond, Security or Other Property standing in the name of the National Transregional Accrediting Association Council (NTAAC) shall be valid only if signed by the Executive Director, the President and the Chief Executive Officer. The Seal must be affixed upon all such transactions.
Article IX Quorum and Voting: A quorum for the transaction of any business shall be a majority of the Board of Directors then in office. Voting shall be by a majority of votes cast at a meeting providing a quorum is present at the meeting.
Article X Amend Bylaws: The Board of Directors shall have the power to alter, amend or repeal bylaws or adopt new bylaws, provided the bylaws shall not contain any provisions inconsistent with Article I (purposes). Article XI Indemnity: Any person made a party to any action, suit or proceeding, by reason of the fact that he/she, his testator or interstate representative is or was a Director, Officer or Employee of the Organization, or of any Corporation in which he/she serves as such at the request of the Organization shall be indemnified by the Organization against the reasonable expenses including Attorney’s fees, actually or necessarily incurred by him/her in connection with any appeal therein, in such action, suit or proceeding in connection with any appeal therein that such Officer, Director or Employee is liable for negligence or misconduct in the performance of his/her duties. I/We, as an active Member or Associate Member, representing This Institution and being affiliated with the National Private Schools Accreditation Alliance, do hereby voluntarily subscribe, without reservation, to this Code of Ethics. |
